Legal Counsel – Corporate, Commercial & Regulatory

About the role

The Legal Counsel will provide end‑to‑end legal support to the bank across corporate, commercial, lending, regulatory and dispute matters. Working closely with business, risk, compliance and operations teams, the counsel will advise on deal structures, draft and vet documentation, and ensure compliance with banking laws and RBI guidelines.

Key responsibilities

• Partner with business units to structure transactions that align with the bank’s risk appetite and regulatory requirements.
• Draft, review and negotiate facility agreements, security documents, pledge deeds, mortgages and inter‑creditor arrangements.
• Interpret RBI Master Directions, circulars, KYC/AML rules and embed legal safeguards into new products and deals.
• Manage litigation and dispute matters, prioritising high‑value and reputationally sensitive cases in courts, tribunals and arbitrations.
• Develop standardised templates to reduce turnaround time and ensure consistency.
• Assist senior legal leadership in policy development, compliance reviews and local legal procedures.

Required profile

• Qualified lawyer with experience in banking or financial services law.
• Strong understanding of Indian banking regulations, RBI directives and KYC/AML frameworks.
• Proven ability to work cross‑functionally with risk, compliance, credit and operations teams.
• Excellent analytical and drafting skills with a focus on risk mitigation.
