Legal Counsel – Commercial & Procurement

About the role

Audax is hiring a commercially‑minded Legal Counsel to support commercial contracting and governance activities for the business, based in India and reporting to the Lead, Legal. This is a hands‑on role that will primarily support the procurement function, providing day‑to‑day legal advice on a broad range of contracts and corporate governance matters.

Key responsibilities

• Draft, review and negotiate NDAs, MSAs, SOWs and IT supply agreements, applying pragmatic commercial judgment.
• Provide legal advice to procurement, finance and operational teams, ensuring contractual solutions align with business needs.
• Support governance activities by preparing agendas, papers, minutes and resolutions for board and general meetings.
• Handle company secretarial obligations, including statutory filings and compliance with corporate governance policies.
• Monitor regulatory and industry developments in commercial law and flag relevant changes to the legal team.

Required profile

• Qualified lawyer with 5–7 years post‑qualification experience, preferably with in‑house commercial law exposure.
• Experience supporting procurement or vendor‑management in a high‑growth fintech or financial‑services environment across multiple jurisdictions.
• Ability to manage competing priorities, balancing strategic initiatives with day‑to‑day advisory work.
• Working knowledge of corporate governance, company secretarial activities and financial‑services outsourcing rules (desirable).
• Strong contract negotiation and clear legal drafting skills for moderately complex commercial agreements.
