Corporate Counsel

About the role

ISS STOXX is expanding its legal team in Mumbai and is looking for an experienced Corporate Counsel. The role will support the global sales organisation and the broader business with legal advice on commercial contracts, compliance and corporate matters.

Key responsibilities

• Provide legal support to the global sales team on outbound sales agreements covering proxy research, voting services, sustainability solutions and other financial services.
• Draft, review, analyse and negotiate complex service and licence agreements, including professional services, data/software licences, procurement and NDAs.
• Maintain and update template agreements and ensure they reflect current legal standards.
• Assist with regulatory compliance matters, including corporate, securities and data‑privacy requirements.
• Support corporate governance for the parent entity and its subsidiaries, including subsidiary management and procurement initiatives.

Required profile

• LL.B. or J.D. from a top‑tier law school and a current bar membership in the relevant jurisdiction.
• Minimum five years of experience at a leading law firm or in‑house, handling corporate and commercial matters for multinational organisations.
• Proven ability to lead negotiations of complex commercial agreements and work with external counsel and internal stakeholders.
• Strong analytical, problem‑solving and communication skills, with the capacity to manage multiple assignments in a fast‑paced environment.
• Willingness to support a global business and build strong internal client relationships.

Required skills

• Drafting and negotiating complex commercial contracts.
• Knowledge of corporate, securities and data‑privacy law.
• Experience with template agreement management.
• Ability to assess legal and business risks and propose practical solutions.
