Independent Director – Education Services

About the role

The Board is seeking an Independent Director to provide governance oversight for a company delivering language‑learning, assessment preparation and international education services. This senior, non‑executive position will ensure that learner outcomes, assessment integrity and financial practices meet the highest standards of transparency and regulatory compliance.

Key responsibilities

• Oversee the integrity of assessment processes, including identity verification, proctoring, score handling and incident investigations.
• Validate outcome‑related claims by requiring robust evidence, clear denominators and transparent reporting for score improvement, admission progress and scholarship results.
• Establish and monitor counselling standards, ensuring disclosures of limitations and prohibitions on guarantees tied to third‑party decisions.
• Review partner and agent incentive structures to prevent conflicts of interest and undisclosed economics.
• Examine advance collections, revenue recognition, refund reserves and payment‑plan liabilities to protect student funds.
• Guide the Board on non‑financial metrics presented to investors, preventing misleading growth narratives.
• Support IPO‑related disclosures, technology resilience and data‑protection compliance.

Required profile

• Proven experience in board or senior governance roles, preferably within education, ed‑tech or regulated service industries.
• Deep understanding of compliance, risk management and financial reporting standards.
• Demonstrated ability to assess and improve operational integrity and stakeholder trust.
