Vice President Legal (Venture Capital & Private Equity)

About the role

We are seeking a seasoned legal professional to lead our Venture Capital and Private Equity legal function. The Vice President Legal will oversee end‑to‑end transaction documentation, ensure regulatory compliance, and provide strategic counsel for investment and portfolio activities.

Key responsibilities

• Draft, review and negotiate investment documents such as SSA, SHA, SPA and term sheets.
• Lead legal due diligence for prospective investments.
• Assess valuation reports from a legal and compliance perspective.
• Prepare founder employment agreements and other HR‑related contracts.
• Negotiate commercial, vendor, service and marketing agreements, both domestic and international.
• Ensure compliance with Companies Act, FEMA, SEBI (AIF) regulations and employment laws.
• Advise on investor rights, governance structures and transaction‑related legal matters.
• Coordinate with external counsel and internal stakeholders throughout transaction execution.

Required profile

• LLB degree with at least 5 years of experience in venture capital or private equity legal work.
• Proven expertise in drafting SSA, SHA, SPA, term sheets and conducting legal due diligence.
• Strong knowledge of Companies Act, FEMA, SEBI (AIF) regulations and employment legislation.
• Excellent contract drafting, negotiation and stakeholder management abilities.
