Senior Manager Merchant Banking & Compliance

About the role

The Senior Manager Merchant Banking & Compliance will bridge transaction execution and regulatory oversight within our Merchant Banking division. You will drive equity capital market mandates while ensuring strict adherence to SEBI and exchange regulations.

Key responsibilities

• Lead day‑to‑day execution of IPOs, rights issues, and private placements, including drafting offer documents and coordinating legal counsel.
• Act as primary gatekeeper for compliance, monitoring all activities against SEBI (ICDR), SEBI (SAST) and SEBI (PIT) regulations.
• Serve as liaison for SEBI and stock‑exchange queries, preparing periodic reports, due‑diligence certificates and post‑issue monitoring.
• Conduct KYC and AML checks on issuers and promoters to protect the firm’s reputation.
• Oversee internal compliance audits, update manuals and ensure alignment with regulatory changes.
• Accurately record chargeable time, manage pricing, invoicing and collection for client portfolios.
• Undertake director, trustee, nominee or authorized signatory roles in internal or client entities as required.

Required profile

• CA, MBA (Finance) or CFA; CS qualification is a strong advantage.
• Minimum 5 years of core experience with a Category 1 Merchant Banker.
• Proven track record in both transaction execution and regulatory compliance/secretarial functions.
• Deep knowledge of the SEBI manual and Companies Act 2013.
• Hands‑on experience preparing and reviewing Draft Red Herring Prospectuses (DRHP).
• Able to interpret complex regulatory circulars.
