Senior Legal Counsel – NBFC Legal & Compliance

About the role

We are seeking a driven and detail‑oriented Senior Legal Counsel to join our Legal & Compliance team. This mid‑senior level position provides end‑to‑end ownership of legal operations for our NBFC business, balancing legal rigour with business pragmatism.

Key responsibilities

• Draft, review, negotiate and finalise commercial contracts, loan agreements, co‑lending, BC, vendor, fintech partnership, SaaS, NDA and MOU documents.
• Maintain a contract repository and lead contract lifecycle management (CLM) initiatives, promoting legal technology adoption.
• Advise business, operations and finance teams on contractual risks, liability exposure, indemnity structures, limitation of liability clauses and termination rights.
• Standardise contract templates, build playbooks and fallback positions for recurring contract types.
• Provide primary internal legal counsel on NBFC regulations, product terms, MITC, KFS, credit policies, collections frameworks and regulatory compliance.
• Issue legal opinions on RBI regulations (Master Direction, Fair Practices Code, Digital Lending Guidelines, Scale‑Based Regulation, SARFAESI Act) and monitor regulatory developments.
• Support data protection compliance under DPDPA 2023, payment systems regulation, CIC regulations and grievance redressal obligations.
• Assist the Compliance team with regulatory submissions, audit responses and inspection queries.

Required profile

• Mid‑senior level legal professional with end‑to‑end ownership experience in legal operations.
• Strong stakeholder management skills and ability to work independently.
• Deep knowledge of NBFC regulations and RBI guidelines applicable to financial services.
• Experience in litigation strategy, recovery proceedings and dispute resolution through courts, tribunals and arbitral forums.
• Ability to balance legal rigor with business pragmatism and commercial intent.
