Legal Executive – Transactional Lawyer (Chennai)

About the role

TNIFMC, a professional investment management company backed by the Government of Tamil Nadu, is seeking a Legal Executive to support its Shelter Fund, Emerging Sector Fund and Green Climate Fund. The role is based in Chennai and reports directly to the General Counsel.

Key responsibilities

• Draft, review and finalize term sheets and definitive transaction documents.
• Coordinate due‑diligence and documentation activities with external law firms.
• Assist in deal structuring, negotiations and the preparation of conditions precedent and subsequent.
• Support portfolio management, reporting and compliance with SEBI AIF regulations.
• Perform any additional legal work assigned by the organization.

Required profile

• 2–5 years of post‑qualification experience in corporate law.
• Experience drafting and reviewing transaction documents such as SHA, debenture and investment agreements.
• Understanding of investment structures (CCPS, NCDs, OCDs) and SEBI AIF regulations.
• Exposure to M&A, private equity or venture capital is an advantage.

Required skills

• Strong knowledge of corporate and securities law.
• Proficiency in drafting and reviewing complex legal agreements.
• Familiarity with SEBI regulations, particularly those governing Alternative Investment Funds.
