Legal Attorney – South Africa Operations (Law Firm Experience)

About the role

We are seeking a seasoned Legal Attorney to provide comprehensive legal support for a South African global conglomerate establishing its base in India. The role focuses on the company’s diversified mining and manufacturing operations, requiring expertise in complex commercial contracts and cross‑border transactions.

Key responsibilities

• Draft, review and negotiate term sheets, purchase agreements, shareholder agreements, share purchase agreements, trading agreements, EPC and O&M contracts.
• Lead negotiations with vendors, customers and major brands to finalise agreements.
• Prepare and negotiate NDAs, bank guarantees, lease deeds, consultancy agreements, MOUs, ERPA and other supply/service contracts.
• Coordinate with external counsel for legal opinions on a wide range of corporate matters.
• Communicate with investors to obtain approvals and ensure compliance with investment agreements.
• Advise on third‑party acquisitions, structure transactions, work with outside counsel and review transaction documents.

Required profile

• Approximately 7 years of experience in large EPC, power or infrastructure projects.
• Strong background in contract drafting, review and negotiation within corporate and commercial law.
• Proven ability to manage complex M&A and investor‑relation transactions.
• Exposure to international legal frameworks and regulatory environments.

Required skills

• Expertise in drafting and negotiating commercial contracts.
• Knowledge of corporate governance, M&A processes and investor relations.
• Familiarity with South African and Indian legal regulations affecting mining and manufacturing sectors.

What we offer

• Annual compensation of INR 30‑35 LPA.
