Legal Associate

About the role

We are seeking a sharp, motivated lawyer with 2–3 years of post‑qualification experience to join our legal team. The Legal Associate will support SEBI and IFSCA regulatory compliance, investor documentation, and debt and equity transactions while providing general in‑house advisory to the investment team.

Key responsibilities

• Draft, review and manage contribution agreements, side letters, investor questionnaires and related fund documentation; maintain investor documentation tracker and coordinate closing processes.
• Prepare and negotiate debt transaction documents such as term sheets, debenture trust deeds, loan agreements, security documents and inter‑creditor agreements; monitor covenants.
• Draft and review equity investment documents including term sheets, share subscription agreements, shareholders’ agreements and board resolutions; manage deal execution checklists with portfolio companies and external counsel.
• Review and negotiate vendor contracts, NDAs, MOUs, service agreements and SaaS agreements; support the Head of Legal on board papers, advisory matters and ad‑hoc queries.
• Assist with data‑privacy compliance under the DPDP Act 2023, maintaining data processing agreements and conducting vendor privacy assessments.
• Support employment documentation such as offer letters, employment contracts, HR policies and ESOP grant documents.

Required profile

• LL.B or LLM from a recognized institution.
• 2–3 years post‑qualification experience at a Tier‑1/2 law firm or in‑house legal team within the financial services sector.
• Familiarity with SEBI AIF regulations, fund documentation and financial‑sector compliance.
• Hands‑on experience drafting and reviewing debt and equity transaction documents.
• Exposure to investor management or fund subscription documentation is a plus.
