Private Equity & Investment Funds Attorney

About the role

We are seeking an experienced Private Equity & Investment Funds Attorney to support a client project that involves creating high‑quality training data for advanced AI systems. Your legal expertise will be applied to review, annotate, and improve a wide range of transactional documents, ensuring the AI learns from accurate, real‑world inputs.

Key responsibilities

• Review and annotate transactional agreements such as MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs.
• Analyze credit agreements, banking documents, SaaS/cloud service contracts, leases, employment agreements, and IP licenses, providing structured feedback.
• Contribute domain knowledge on investment funds, asset management, private equity, M&A, and corporate/commercial law.
• Clarify and refine legal language to improve AI understanding of contractual terms.
• Draft sample clauses and highlight key risk areas for robust training data sets.
• Monitor sector‑specific trends in data privacy, cybersecurity, and technology transactions.
• Collaborate with other legal professionals to benchmark standards and best practices.

Required profile

• JD from an accredited law school (LLM acceptable with exceptional experience).
• 8+ years of experience in private equity, investment funds, M&A, or asset‑management legal practice.
• Proven expertise with a variety of transactional documents.
• In‑depth knowledge of contract‑heavy work in investment funds, banking & finance, technology/SaaS, and data privacy.
• Exceptional written and verbal communication with a focus on clarity.
• Ability to synthesize complex legal concepts for diverse audiences.
