Private Equity Attorney – Remote Contract ($90–$130/hr)

About the role

This remote contract position is for an experienced attorney specializing in private equity and investment funds. You will support advanced AI research by reviewing and annotating complex transactional documents, helping improve AI reasoning on legal matters.

Key responsibilities

• Review, analyze, and annotate agreements such as MSAs, SPAs/APAs, LPAs, DPAs, NDAs, side letters, and related commercial contracts.
• Evaluate credit agreements, banking documents, employment agreements, leases, SaaS/cloud agreements, and technology licensing contracts.
• Identify legal risks, negotiation points, and key provisions across a broad range of transaction documents.
• Draft sample clauses, contract summaries, and legal annotations to support AI training and evaluation.
• Provide insights on data privacy, cybersecurity, technology transactions, and emerging legal trends.
• Collaborate with other legal professionals to establish best‑practice review frameworks.

Required profile

• Juris Doctor (JD) or equivalent legal qualification.
• Significant experience in private equity, investment funds, M&A, asset management, or transactional corporate law.
• Strong background reviewing and negotiating commercial contracts and fund documents.
• Excellent legal writing, analytical reasoning, and communication skills.
• Ability to work independently in a remote environment.

Required skills
