M&A Attorney – Remote Contractor (AI Legal Projects)

About the role

We are looking for an experienced M&A Attorney to join a remote, part‑time contract focused on evaluating and improving AI‑driven legal solutions. The role blends traditional corporate law expertise with cutting‑edge technology to help shape the next generation of AI‑powered contract analysis tools.

Key responsibilities

• Conduct simulated M&A contract negotiations and redlining exercises across various transaction documents.
• Review AI‑generated responses to M&A scenarios and provide detailed feedback to enhance model accuracy and legal reasoning.
• Develop evaluation frameworks, scoring rubrics, and quality standards for assessing AI performance on transactional tasks.
• Collaborate with product, research, and engineering teams to refine AI training datasets and legal guidelines.
• Identify contractual risks, negotiation strategies, and drafting improvements within complex M&A agreements.

Required profile

• Juris Doctor (J.D.) from an ABA‑accredited law school.
• Active bar membership in at least one U.S. jurisdiction.
• Minimum 2 years of experience in a corporate law firm’s M&A practice.
• Strong familiarity with standard M&A documents such as APAs and SPAs.
• Excellent written and verbal communication with meticulous attention to detail.
• Analytical mindset capable of translating legal expertise into structured feedback.
• Interest in legal innovation and emerging technologies.
