Legal Counsel - Mergers & Acquisitions

About the role

The Legal Counsel will lead strategic M&A transactions, draft and negotiate high‑value commercial agreements, and manage cross‑functional corporate projects. Reporting to senior leadership, the role balances risk mitigation with business growth while helping to scale the corporate legal function.

Key responsibilities

• Provide end‑to‑end legal support for M&A, joint ventures, strategic investments and restructurings, from NDA execution to post‑merger integration.
• Draft, vet and negotiate complex cross‑border commercial agreements, including MSAs, licensing, strategic alliances, EPC and outsourcing contracts.
• Lead legal strategy for new business launches, product rollouts and internal reorganisations, advising stakeholders across finance, tax, IT, marketing and HR.
• Build and standardise legal operations, design contract templates, implement CLM platforms and manage external counsel spend.
• Formulate pre‑litigation strategies, handle dispute notices and oversee arbitrations related to M&A and commercial contracts.

Required profile

• LL.B/LL.M from a premier Indian law school or university.
• 8–12 years post‑qualification experience in a top law firm, corporate house or a blend of both.
• Proven track record of leading M&A deals, negotiating complex contracts and advising on multi‑stakeholder corporate projects.
• Strong corporate law expertise, commercial acumen and ability to translate legal risk into business context.
• Excellent stakeholder‑management skills, high self‑motivation and a technology‑oriented mindset for legal ops efficiency.
