Head of Legal Counsel – Fintech

About the role

Falcon is seeking a Head of Legal Counsel to lead its legal function within a fast‑growing fintech platform. The role will support the company’s M&A, fundraising, and commercial activities while providing day‑to‑day legal advice to product, business and leadership teams.

Key responsibilities

• Lead and support mergers, acquisitions, strategic investments and partnership transactions, including due diligence, structuring and documentation.
• Manage fundraising transactions (equity, debt, structured instruments) and prepare term sheets, SHA, SSA and closing documents.
• Draft, review and negotiate client and commercial contracts.
• Coordinate with external counsel, investors, founders and internal stakeholders throughout transactions.
• Provide ongoing legal advisory across business, product and leadership functions.

Required profile

• Significant experience as a legal counsel in a fintech or financial services environment.
• Proven track record in deal execution and negotiation.
• Comfort working in a regulated, high‑growth and fast‑paced setting.
• Ability to collaborate with cross‑functional teams and senior leadership.
