Legal Counsel – Funds & Transactions

About the role

We are seeking a Legal Counsel to lead the legal lifecycle of our Category I and Category II Alternative Investment Funds (AIFs) and to drive documentation and negotiation of startup investments. The role works closely with investment teams, founders and investors, providing practical regulatory advice.

Key responsibilities

• Advise on structuring, setup and launch of Category I and Category II AIFs, manage SEBI registration, scheme launch filings and ensure ongoing compliance with SEBI AIF Regulations.
• Draft, review and negotiate term sheets, shareholders' agreements, share subscription agreements and other transaction documents for startup investments, including negotiating investor protections.
• Coordinate legal due diligence, manage conditions precedent, and support follow‑on rounds, secondary transactions and exits for portfolio companies.
• Provide legal support to investment, fund operations and investor relations teams, draft commercial contracts, vendor agreements and NDAs, and oversee data protection compliance under the Digital Personal Data Protection Act, 2023.

Required profile

• LLB from a recognised university and enrollment with a State Bar Council.
• 4–5 years of post‑qualification experience at a reputed law firm or in‑house with a VC/PE fund, AIF manager or investment platform.
• Hands‑on experience with Category I and Category II AIFs, fund documentation and SEBI compliance.
• Strong track record of drafting and negotiating term sheets and shareholders' agreements in venture capital or private equity transactions.
