Senior Attorney – Commercial Contracts

About the role

You will report directly to the Assistant General Counsel, Process Technology, and work from our Gurgaon office on a hybrid schedule. The role focuses on supporting Honeywell’s Process Technology portfolio through commercial contracting and compliance activities.

Key responsibilities

• Draft, review, and negotiate standard and non‑standard commercial contracts, technology license agreements, and alliance agreements using approved templates.
• Identify contractual risks, flag deviations from standard terms, and escalate critical issues for approval.
• Assist the Assistant General Counsel with contract administration, matter tracking, and coordination of internal reviews.
• Provide legal and commercial input on contract issues, supporting risk‑mitigation activities.
• Support negotiations with customers, suppliers, and partners by preparing drafts, redlines, and issue summaries.
• Help prevent, manage, and resolve commercial disputes, maintaining relevant records.
• Participate in audits, compliance checks, and respond to internal or external inquiries.
• Suggest updates to templates and playbooks and share best practices with stakeholders.

Required profile

• 4‑6 years of practicing law with a focus on contract law and commercial terms.
• Experience handling complex agreements involving IP licensing and technology transfer.
• LL.B or LL.M from a reputable university.
• Strong communication, negotiation, and collaboration skills.
• Ability to work independently, manage multiple priorities, and pay close attention to detail.
