Legal Counsel

About the role

The Legal Counsel will provide end‑to‑end legal support to the bank across corporate, commercial, lending, regulatory and dispute matters. The role involves drafting and vetting documentation, advising business units, mitigating legal risks, managing litigation and ensuring compliance with banking laws and regulatory guidelines.

Key responsibilities

• Partner with business, risk, compliance, credit and operations teams to structure and facilitate transactions while protecting the bank’s interests.
• Advise on optimal deal structures (secured/unsecured, syndicated, bilateral, escrow, guarantees) and align them with risk appetite and regulatory conditions.
• Develop and maintain standardized templates for facility agreements, security documents, pledge deeds, mortgages and inter‑creditor arrangements.
• Interpret RBI Master Directions, circulars, KYC/AML rules and embed legal safeguards into new product features.
• Draft, vet and negotiate contracts, agreements and other documentation with third parties and internal stakeholders.
• Map and prioritize critical cases in DRT, NCLT, High Courts, consumer forums, arbitrations and criminal complaints.
• Assist senior legal leadership in policy compliance, local policy development and ensuring all transactions conform to applicable law and bank policies.

Required profile

• Demonstrated experience in banking legal matters, including corporate, commercial, lending, regulatory and dispute resolution.
• Ability to work closely with cross‑functional teams and provide early‑stage legal advice on transaction structures.
• Strong understanding of Indian banking regulations, RBI guidelines and KYC/AML requirements.
