Corporate Lawyer – M&A & Advisory (New Delhi & Gurugram)

About the role

Sagus Legal is expanding its Corporate practice and seeks experienced lawyers to join its team in New Delhi and Gurugram. The role involves providing comprehensive corporate advisory, handling mergers and acquisitions, private equity transactions, and project financing for clients across energy, infrastructure, manufacturing, and technology sectors.

Key responsibilities

• Draft and negotiate transactional documents including Shareholder Agreements, Sale & Purchase Agreements, term sheets, and security documents.
• Manage transactions from term sheet negotiation through to closing, ensuring all legal aspects are addressed.
• Provide day‑to‑day corporate advisory to clients on a range of commercial matters.
• Collaborate with senior partners and cross‑functional teams to deliver integrated legal solutions.

Required profile

• 3–8 years of post‑qualification experience (PQE) in corporate law, M&A, or private equity.
• Demonstrated ability to take a transaction from inception to completion.
• Strong client‑facing confidence and sound judgment to identify material clauses.
• Excellent drafting and negotiation skills.

• Understanding of corporate structures, financing mechanisms, and regulatory frameworks.
