Corporate Lawyer – M&A (2+ Years)

About the role

We are looking for a Corporate Lawyer with at least two years of post‑qualification experience to join our M&A practice in Delhi. The role involves handling domestic and cross‑border merger and acquisition transactions, providing legal advice on corporate governance, and ensuring compliance with Indian regulations.

Key responsibilities

• Structure, draft and negotiate shareholders agreements, share purchase agreements, share subscription agreements and related transaction documents for M&A deals.
• Conduct legal due diligence on target companies, reviewing corporate records, material contracts, litigation and regulatory filings, and prepare detailed reports flagging key risks.
• Review, draft and negotiate a wide range of commercial contracts such as vendor, services and licensing agreements.
• Advise clients on compliance with the Companies Act, 2013, including board and shareholder approvals, statutory filings and corporate governance matters.
• Provide guidance on FEMA and exchange‑control regulations for inbound and outbound investments and cross‑border transaction structuring.
• Coordinate with clients, counterparties, auditors, company secretaries and regulatory authorities to progress transactions from term sheet through signing and closing.
• Assist senior associates and partners with transaction structuring and deliver practical, business‑oriented legal advice.
• Track closing checklists, conditions precedent/subsequent and post‑completion compliance requirements.

Required profile

• Minimum of 2 years post‑qualification experience, preferably at a law firm.
• Hands‑on experience drafting shareholders agreements and share purchase agreements.
• Strong working knowledge of the Companies Act, 2013 and FEMA.
• Experience reviewing and negotiating commercial contracts.
• Ability to manage multiple transactions independently.
• Comfortable working on both domestic and cross‑border M&A matters.
