About the role
The Manager, Secretarial & Shareholder Services will oversee the end‑to‑end administration of board and committee meetings, annual general meetings, and shareholder interactions for a listed entity in India. The role ensures strict compliance with corporate laws, SEBI regulations, and internal governance standards while coordinating with multiple internal and external stakeholders.
Key responsibilities
- Prepare and circulate notices, agendas, resolutions, and minutes for board, committee and AGM meetings.
- Manage online tools for paper‑less meetings, e‑voting, and insider trading monitoring.
- Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable statutes.
- Maintain the compliance management system, track legal deadlines, and resolve any delayed or non‑compliances.
- Coordinate with the Registrar and Transfer Agents to address shareholder queries and oversee dividend disbursal processes.
- Support the Company Secretary on strategic projects such as mergers, acquisitions, and divestments.
- Liaise with tax, CSR, and global subsidiary governance teams for related party transactions and CSR compliance.
- Lead audits including corporate governance, secretarial, RBI due‑diligence, statutory, and annual return audits.
Required profile
- Strong knowledge of Indian corporate law, SEBI regulations, FEMA and related compliance frameworks.
- Experience in managing board and shareholder processes for a listed company.
- Proven ability to handle large shareholder bases and coordinate with registrars, transfer agents, and treasury teams.
- Excellent analytical and documentation skills for drafting reports, resolutions, and governance disclosures.
- Ability to monitor regulatory changes and implement timely compliance actions.
