About the role
The Manager, Secretarial & Shareholder Services will lead the end‑to‑end corporate secretarial function for a listed entity in India. This senior position ensures flawless board and committee meetings, AGM execution, regulatory compliance and effective shareholder communication.
Key responsibilities
- Prepare and circulate board and committee notices, agendas, resolutions and minutes; manage paper‑less board meeting tools.
- Coordinate AGM logistics, draft annual reports, CSR, BRSR and related disclosures; handle e‑voting, FAQs and post‑meeting compliance.
- Ensure compliance with Companies Act, SEBI regulations, FEMA, Shops & Establishment Act and other applicable laws.
- Administer the online compliance management tool, track legal deadlines and resolve delayed or non‑compliances.
- Monitor insider trading disclosures, maintain UPSI database and ensure related regulatory filings.
- Support policy formulation, board evaluation frameworks and liaison with tax, CSR and global subsidiary governance teams.
- Lead shareholder services for ~125,000 shareholders across 50+ cities, manage registrar and transfer agent interactions, and oversee dividend disbursal processes.
- Assist the Company Secretary on strategic M&A, divestment projects and coordinate multiple audits (corporate governance, secretarial, RBI, statutory).
Required profile
- Extensive experience in corporate secretarial, governance or compliance functions within a listed company.
- In‑depth knowledge of Indian corporate law, SEBI regulations, FEMA and related statutory requirements.
- Proven ability to manage large shareholder bases and complex dividend processes.
- Strong coordination skills with internal teams, regulators, registrars and auditors.
