Legal Counsel

About the role

Audax is hiring a commercially‑minded Legal Counsel to support commercial contracting and governance activities for the business. Based in India and reporting to the Lead, Legal, the role is hands‑on and will primarily back the procurement function, providing day‑to‑day legal advice on a broad range of contracts and supporting corporate governance and company secretarial matters.

Key responsibilities

• Draft, review, and negotiate a broad range of agreements including NDAs, MSAs, SOWs, and IT supply agreements, applying commercial judgement and risk‑based solutions.
• Support governance activities such as preparing agendas, papers, minutes, and resolutions for board and general meetings.
• Handle company secretarial obligations, including statutory filings, HQ reporting requirements, and adherence to corporate governance policies.
• Negotiate standard and bespoke agreements in line with company policies, procedures and regulatory requirements.
• Provide stakeholder management for procurement, finance, and other teams to align contractual solutions with operational needs.
• Track regulatory and industry developments in commercial law and governance, flagging relevant changes to the legal team.

Required profile

• Qualified lawyer with 5–7 years post‑qualification experience, preferably with in‑house commercial law exposure.
• Experience supporting procurement, sourcing or vendor‑management in a high‑growth technology, fintech or financial services organisation across multiple jurisdictions.
• Ability to manage competing priorities, balancing strategic initiatives with day‑to‑day advisory responsibilities.
• Working knowledge of corporate governance and company secretarial support activities.
• Familiarity with financial services outsourcing rules and guidance (desirable) and strong knowledge of IP, outsourcing, offshoring, software licensing and privacy regulations.
• Proven contract negotiation and clear legal drafting skills for moderately complex commercial agreements.
