Investment Funds Attorney – Remote Contract

About the role

We are seeking an experienced Investment Funds Attorney to work remotely on a contract basis. The attorney will be responsible for drafting, reviewing, and negotiating a range of legal documents related to investment funds while ensuring compliance with applicable regulations.

Key responsibilities

• Draft, review, and revise fund documentation, including offering documents, limited partnership agreements, and side letters.
• Provide legal advice on fund structuring, regulatory compliance, and investor relations.
• Collaborate with fund managers, compliance teams, and external counsel to resolve legal and operational issues.
• Conduct due diligence on fund investments and assess associated legal risks.
• Stay current on evolving regulations affecting investment funds and private equity.

Required profile

• Juris Doctor (JD) degree from an accredited U.S. law school.
• Active membership in a U.S. state bar.
• Minimum of 3 years of experience in investment funds, private equity, or related legal practice.

Required skills

• Strong proficiency in drafting and negotiating complex legal agreements.
• In‑depth knowledge of fund formation, compliance, and regulatory frameworks.
