Governance Support Officer

About the role

The Governance Support Officer will assist the corporate governance function across the holding company and its subsidiaries. This role ensures that board and general meetings, statutory filings, and regulatory reporting are conducted accurately and on time.

Key responsibilities

• Assist in convening Board and General meetings for the holding and subsidiary companies.
• Draft agendas, minutes, resolutions and ensure timely filing with regulatory authorities.
• Prepare board reports, annexures and support the preparation of annual reports.
• Maintain statutory registers, secretarial records and manage compliance under the Companies Act, 2013.
• Handle filings with MCA, FEMA and RBI, including FLA filings, FC‑GPR and other foreign investment reporting.
• Oversee governance, cross‑border compliance and reporting for foreign subsidiaries.
• Administer ESOP and share‑based benefit schemes.
• Track regulatory changes, assess compliance risk and develop related frameworks, processes and policies.
• Draft and review contracts and agreements with employees, clients, vendors, landlords and service providers.
• Liaise with statutory and regulatory authorities such as ROC, RBI and labour offices.

Required profile

• Strong knowledge of corporate laws, labour laws, RBI and FEMA regulations.
• Ability to stay updated on regulatory changes and implement compliance measures.
• Excellent verbal and written communication skills.
• Interpersonal skills to work effectively with stakeholders at all levels.
• Attention to detail and rigorous documentation practices.

• Legal drafting expertise.
• Experience in RBI compliance processes.
