Funds Attorney – Remote Contractor

About the role

We are looking for an experienced Funds Attorney to join our client’s team on a part‑time, remote basis. This contractor role sits at the intersection of investment‑funds law and artificial‑intelligence, helping to shape AI‑powered legal solutions.

Key responsibilities

• Perform simulated negotiations and redlining exercises on investment‑fund documentation such as LPAs, subscription agreements, and side letters.
• Review AI‑generated legal responses, provide detailed feedback, and develop scoring rubrics to improve model accuracy.
• Create structured evaluation frameworks and quality standards for AI performance on fund formation and transactional tasks.
• Collaborate with product, research, and engineering teams to refine training datasets, legal guidelines, and best practices.
• Identify contractual risks, drafting issues, and negotiation strategies within complex fund documents.
• Contribute subject‑matter expertise to enhance AI systems for legal research, contract review, and transactional analysis.

Required profile

• J.D. from an ABA‑accredited law school and active bar membership in at least one U.S. jurisdiction.
• Minimum 2 years of experience in the Investment Funds practice of a corporate law firm.
• Strong familiarity with Limited Partnership Agreements, Subscription Agreements, and Side Letters.
• Excellent written and verbal communication with meticulous attention to detail.
• Analytical mindset capable of translating legal expertise into structured, actionable feedback.
• Interest in legal innovation and emerging technologies.

Required skills

• Understanding of contract lifecycle management (CLM) systems.
