About the role

Legal Experts AI is building a data‑driven platform that connects clients with verified legal professionals. As a Corporate Lawyer, you will provide strategic legal counsel, draft and negotiate agreements, and support corporate transactions to ensure compliance and mitigate risk.

Key responsibilities

• Provide legal counsel on corporate governance, business operations, regulatory compliance, and strategic transactions.
• Draft, review, and negotiate corporate and commercial agreements such as service agreements, vendor contracts, partnership agreements, shareholder agreements, NDAs, and licensing arrangements.
• Support mergers and acquisitions, joint ventures, fundraising rounds, restructuring, and due diligence processes.
• Advise leadership and internal stakeholders on legal risks, compliance obligations, and business strategy.
• Prepare and maintain corporate records, board resolutions, governance documents, and statutory filings.
• Assist with entity formation, corporate structuring, and management of domestic and international subsidiaries.
• Monitor and interpret relevant laws, regulations, and corporate governance developments, providing proactive recommendations.
• Collaborate with finance, HR, operations, and external counsel on employment matters, compliance issues, and contractual obligations.
• Manage and mitigate legal risks related to commercial operations, partnerships, intellectual property, and regulatory exposure.
• Support dispute prevention and resolution, including pre‑litigation strategy and coordination with external legal advisors.

Required profile

• Juris Doctor (J.D.) degree or equivalent legal qualification from an accredited law school with strong academic credentials.
• Active license and good standing with at least one recognized bar association.
• 2–5 years of experience in corporate law, either in a law firm or an in‑house legal department.
• Strong understanding of corporate governance, contract law, commercial transactions, and regulatory compliance.
• Experience drafting, reviewing, and negotiating complex legal agreements independently.
• Familiarity with company formation, board governance, statutory filings, and corporate documentation requirements.
• Excellent legal research, analytical, and problem‑solving skills.
• Strong written and verbal communication abilities.
