Corporate Lawyer

About the role

Legal Experts AI is seeking a Corporate Lawyer to join its growing team. You will provide legal counsel across corporate governance, regulatory compliance, and strategic transactions, helping to shape the company’s legal framework and support its rapid expansion.

Key responsibilities

• Advise on corporate governance, business operations, and regulatory compliance.
• Draft, review, and negotiate corporate and commercial agreements such as service agreements, vendor contracts, partnership agreements, shareholder agreements, NDAs, and licensing arrangements.
• Support mergers and acquisitions, joint ventures, fundraising rounds, restructuring, and due‑diligence processes.
• Prepare and maintain corporate records, board resolutions, governance documents, and statutory filings.
• Assist with entity formation, corporate structuring, and management of domestic and international subsidiaries.
• Monitor legal developments and provide proactive recommendations.
• Collaborate with finance, HR, operations, and external counsel on employment matters, compliance issues, and contractual obligations.
• Manage legal risks related to commercial operations, partnerships, intellectual property, and regulatory exposure.

Required profile

• Juris Doctor (J.D.) or equivalent legal qualification from an accredited law school.
• Active bar license in good standing.
• 2–5 years of experience in corporate law, either in a law firm or in‑house.
• Strong understanding of corporate governance, contract law, commercial transactions, and regulatory compliance.
• Proven ability to draft, review, and negotiate complex agreements independently.
