Legal Counsel, Corporate & Securities

About the role

This remote position is for an experienced legal professional based in India who will support corporate and securities activities for a fast‑growing organization. The role focuses on public‑company matters such as SEC reporting, corporate governance, capital markets, strategic transactions, and equity programs.

Key responsibilities

• Support public‑company reporting and securities compliance, including preparation and filing of periodic reports, proxy statements, and related disclosures.
• Assist with corporate governance and secretarial matters, preparing board and committee materials, resolutions, and coordinating annual shareholder meetings.
• Manage entity governance activities such as formation, maintenance, foreign qualifications, regulatory filings, and internal corporate records.
• Support capital‑markets and financing initiatives, including cap table management, due diligence, and transaction‑related legal processes.
• Coordinate diligence, documentation, signing, and closing activities for mergers, acquisitions, and strategic transactions.
• Administer equity compensation programs, handling equity award agreements and international equity offerings.
• Partner with Finance, Accounting, HR, Commercial, Communications, and other internal teams to provide legal guidance.
• Handle confidential information with discretion and maintain high standards of legal accuracy.

Required profile

• Law degree (J.D., LL.M., Indian LL.B., or equivalent) from a recognized institution.
• Minimum of 3 years of experience in U.S. corporate and securities law, gained at a leading U.S. law firm or within the legal function of a U.S. public company.
• Strong knowledge of public‑company governance, SEC reporting requirements, and corporate structure.
• Ability to operate effectively in a global, fast‑paced environment.
