Legal Counsel – Commercial Contracts

About the role

Wisemonk is seeking a Legal Counsel to own and manage commercial contracts across its B2B services platform. You will work closely with sales, delivery, and leadership teams, handling MSAs, SOWs, DPAs, and related documents while ensuring fast, clear, and compliant contract execution.

Key responsibilities

• Draft, review, and negotiate MSAs and SOWs, handling first‑pass and second‑pass redlines and managing end‑to‑end negotiation threads for SMB and mid‑market deals.
• Develop and maintain data‑protection agreements (DPAs) covering GDPR, UK DPA, India DPDP Act, and emerging jurisdictions such as Singapore, Philippines, and UAE.
• Prepare supporting legal documents including NDAs, contractor, vendor, partner, referral agreements, order forms, and change orders.
• Create and maintain negotiation playbooks, clause libraries, and template repositories for top negotiated clauses (liability caps, indemnities, IP, data, audit rights, exclusivity, termination).
• Own the contract lifecycle management system, tracking renewals, obligations, and providing visibility to sales and delivery teams.
• Participate in sales calls, train account executives and customer success managers on objection handling, and reduce time to contract signature.
• Coordinate with external counsel for employment, structuring, and litigation matters, managing briefs, costs, and responses.

Required profile

• 1–3 years of experience drafting and negotiating commercial contracts, preferably in‑house at a tech/SaaS/services company or in a corporate/commercial team of a tier‑1 law firm.
• Law degree from NLU, NALSAR, NUJS, Symbiosis, GLC, ILS, or a strong tier‑2 institution with a commercial law focus.
• Internship or work experience in a tech company’s legal department (e.g., Wipro, Infosys, Flipkart, SaaS startups) is a strong plus.
• Exposure to tier‑1 law firm environments (e.g., CAM, AZB, Khaitan, Tril) is advantageous.
