Remote M&A Attorney – Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology, information and internet company on a contract basis. This remote position will involve providing legal expertise for high‑impact mergers, acquisitions and corporate transactions.

Key responsibilities

• Draft, review and negotiate merger and acquisition agreements, including purchase, asset purchase and stock purchase agreements.
• Conduct thorough due diligence on target entities to identify legal risks and liabilities.
• Advise on corporate governance, compliance and regulatory matters related to M&A transactions.
• Coordinate with finance, tax and operations teams to ensure smooth transaction execution.
• Ensure all transaction documentation complies with legal standards and mitigates potential liabilities.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in a state bar association.
• Minimum of 3 years of experience handling M&A transactions.

Required skills

• Strong understanding of corporate law and securities regulations.
• Expertise in contract drafting and negotiation.
• Experience with domestic and cross‑border M&A transactions.
• Ability to analyze complex legal documents and identify critical issues.
