About the role
Dezerv is seeking a Secretarial Compliance Manager to lead corporate secretarial functions and ensure adherence to Indian corporate, FEMA and SEBI regulations. The role will act as the single point of contact for all secretarial matters, supporting both domestic and overseas entities.
Key responsibilities
- Prepare agendas, conduct board meetings, committees and AGMs, and follow up on action items.
- Provide subject‑matter expertise on Corporate Laws, FEMA, SEBI regulations, and related compliance frameworks.
- Handle secretarial and FEMA compliance for overseas subsidiaries.
- Design and deliver training sessions required under various regulations.
- Drive insider‑trading (PIT) compliance and maintain related frameworks.
- Draft, negotiate and review legal agreements, contracts and arrangements.
- Advise business units on legal matters and interact with external law firms.
- Evaluate proposals and actions with potential legal impact and determine appropriate responses.
- Collaborate with the compliance team to standardise controls and automate reporting.
- Contribute to firm‑wide compliance projects.
Required profile
- Strong domain knowledge of Corporate Laws, contract law, registration, stamping, FEMA and SEBI regulations (AIF, PMS, mutual funds).
- Ability to manage multiple assignments and meet competing deadlines.
- Excellent interpersonal skills and experience working in a dynamic team environment.
- Demonstrated ability to stay current with regulatory and compliance requirements.
- High attention to detail.
