About the role
We are seeking an experienced Assistant Vice President – Secretarial to lead the corporate secretarial and governance function for a fast‑growing organization. Reporting to the Chief Financial Officer and based in Delhi Aerocity, the role will ensure compliance with the Companies Act, SEBI regulations and other statutory obligations across the group.
Key responsibilities
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
- Manage Board, Committee and Shareholder meetings, preparing agendas, notices, minutes and resolutions.
- Oversee all statutory filings, disclosures, returns and maintenance of statutory registers.
- Lead corporate actions such as incorporations, restructurings, mergers, acquisitions, liquidations and fundraising from a secretarial perspective.
- Act as the primary interface between the Board, senior management, investors, lenders and external advisors.
- Coordinate secretarial audits, regulatory inspections and compliance monitoring, providing dashboards and reports to leadership.
Required profile
- Qualified Company Secretary (CS) from ICSI – mandatory.
- Additional qualifications such as LLB, CA or MBA are advantageous.
- Minimum 15 years of experience in corporate secretarial, governance and statutory compliance.
- Proven ability to work closely with CFOs, Boards, investors and regulatory authorities.
