About the role
Vistra is looking for a motivated Company Secretary – Assistant Manager to join its Corporate Secretarial (Cosec) team in India. This permanent, full‑time position offers regional coverage and the chance to contribute to the growth of the Cosec function while working in a hybrid environment.
Key responsibilities
- Prepare Annual General Meeting (AGM) packs, including notices, appointments, minutes, and power of attorney documents.
- Compile annual compliance packs, board minutes, resolutions for financial statements, and update company registers.
- Draft and issue documents related to changes in directors, secretaries, and alternate directors (e.g., appointment and resignation letters).
- Assist with share charge deliverables, including drafting relevant letters and documents.
- Support company formation activities such as preparing constitutions, letters of no objection, and filing with the Companies Registry.
- Generate Members Voluntary Liquidation (MVL) and voluntary strike‑off packs, including board minutes, member resolutions, newspaper notices, and registry filings.
- Handle ad‑hoc tasks as requested by the onsite team or organization.
Required profile
- Qualified Company Secretary (CS) with 2–7 years of relevant experience, preferably in a client‑service environment.
- Ability to interpret legal and regulatory concepts accurately.
- Strong organizational and communication skills with meticulous attention to detail.
- Team player who can work to targets, take ownership, and deliver results.
