Lead Legal Counsel – Corporate & Commercial

About the role

The Lead Legal Counsel will head the legal function for our paints business headquarters in Mumbai. You will be responsible for overseeing all commercial, corporate, and IP matters, ensuring robust legal support for the company’s growth and compliance.

Key responsibilities

• Negotiate, draft and finalize a wide range of domestic and international commercial contracts, including SPAs, SHAs, franchise, software licensing, and supply‑chain agreements.
• Manage intellectual property matters such as patents, trademarks, copyrights, licensing agreements, and enforcement actions.
• Provide corporate advisory on financing, loyalty programmes, policy drafting (code of conduct, anti‑bribery, data privacy, etc.) and regulatory compliance.
• Lead compliance and risk‑management initiatives, conduct audits and guide internal teams on legal requirements.
• Handle employment‑related legal work, including contracts, consultancy agreements and vendor empanelment.
• Support M&A activities: conduct due diligence, negotiate transaction documents (SPA, SSA, term sheets) and structure joint ventures.

Required profile

• LL.B. from a reputable institute.
• 12‑14 years post‑qualification experience, preferably from law firms.
• Excellent English writing, articulation and presentation skills.
